Message to Employees Video Script for Bill Lynn on Announcement Day
Hello, today I am very excited to announce a major milestone in the history of Leonardo DRS.
We have signed an agreement to merge with RADA, a leading developer of tactical military radars. They are a public company, and through this merger Leonardo DRS itself will become a publicly traded company. We will do this by acquiring a controlling interest in RADA and be listed on the NASDAQ under the ticker symbol D-R-S.
Many of you may be familiar with RADA having worked with them on our successful U.S. Army force protection program called M-SHORAD.
Adding the unique and advanced capabilities of RADA to our portfolio creates a much stronger company. This will significantly improve our force protection capabilities and build on our position as an industry leader in advanced sensors.
This merger is a significant step toward the transformation of Leonardo DRS into a stronger and more global defense technology company. As we strengthen our core capabilities in force protection, we are also moving toward developing new technologies based on our advanced sensing that will shape the future of the battlefield for the US military and our allies.

And as a public company, we will have the operational and financial flexibility to develop the full potential of Leonardo DRS.
Going forward, we expect this merger to be finalized in the later part of this year, and we will keep you updated as it progresses.
This is an exciting chapter in the evolution of our company. The talented people of Leonardo DRS— serve our customers with creativity, agility and endless dedication. You are the backbone of what we do. It is only because of you that we have come this far.
I look forward to continuing this journey with all of you.
Thank you.

Email Message from Leonardo DRS, Inc.:
I wanted to alert you of an exciting transaction we announced today as we are merging with RADA Electronic (Nasdaq: RADA) to take Leonardo DRS public. The transaction brings together our leading position as a mid-tier, technology-focused, platform-agnostic defense contractor and RADA’s best-in class tactical radars to create what we think will be a leader in force protection and integrated multi-domain systems. We expect the pro forma company to have a strong balance sheet and low teen Adj. EBITDA growth in 2022-2023 as we continue to execute on our margin expansion story.
